Agreement and scope
These Terms of Use ("Terms") are a legal agreement between you and Reprieve ("Reprieve," "we," "us," or "our"). They govern your access to and use of the Reprieve website, the resident-facing Reprieve application, Reprieve Homebase, waitlists, communications, content, and related services (collectively, the "Services").
By accessing or using the Services, creating an account, or submitting a waitlist request, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services. Additional written terms may apply to an organization, subscription, promotion, or particular feature. If additional terms conflict with these Terms, the additional terms control for that feature or relationship.
Eligibility
You must be at least 18 years old and legally able to enter into this agreement to use the Services. If you use Homebase for an organization, you represent that you have authority to act for that organization and to bind it to these Terms. You may not use the Services if applicable law prohibits you from doing so.
Accounts and account security
You must provide accurate, current information, keep it updated, protect your credentials and device, and promptly notify Reprieve of suspected unauthorized access. You are responsible for activity under your account except to the extent caused by Reprieve's breach of these Terms or applicable law. You may not transfer, sell, share, or create an account for someone else without authorization.
Usernames remain subject to availability, format rules, reserved terms, impersonation restrictions, and moderation. Reprieve may reject, change, retire, or reassign a username when reasonably necessary to prevent confusion, infringement, fraud, abuse, or security risk.
Recovery support only — not medical or emergency care
Reprieve provides self-directed recovery-support, organizational, communication, resource, and administrative tools. The Services are not a medical device, health-care provider, treatment program, therapist, emergency service, crisis service, legal adviser, financial adviser, or accounting service. Use of the Services does not create a clinician-patient, counselor-client, fiduciary, landlord-tenant, or similar professional relationship with Reprieve.
The Services do not diagnose, treat, cure, or prevent any condition and do not guarantee sobriety, recovery, housing, safety, meeting attendance, or any particular outcome. Do not delay professional care or make a medical decision because of information in the Services. If you may be in danger, experiencing a medical emergency or severe withdrawal, or considering self-harm or harm to another person, contact emergency services or an appropriate crisis resource immediately.
Meetings, resources, listings, and check-ins
Meeting schedules, virtual links, residence listings, support resources, news, and other outside information may be incomplete, delayed, or inaccurate. Availability, certification, eligibility, hours, location, cost, and requirements can change without notice. Verify time-sensitive information with the original provider before relying on it. Inclusion in the Services is not an endorsement or guarantee by Reprieve.
Check-in results may depend on device permissions, location accuracy, public meeting data, user input, and organization review. They are administrative support tools, not proof of identity, continuous location, treatment participation, sobriety, legal compliance, or physical safety. Organizations should not use a check-in result as the sole basis for a housing, disciplinary, employment, clinical, or legal decision.
Community and user content
"User Content" includes posts, replies, usernames, profile images, messages, reports, bulletin posts, listing content, feedback, and other material submitted through the Services. You retain ownership of your User Content. You grant Reprieve a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, format, and otherwise use User Content only as reasonably necessary to operate, secure, moderate, improve, and provide the Services and to comply with law. This license ends when the content is deleted, except for reasonable backup, legal, security, and technical retention.
You represent that you have the rights and permissions needed to submit User Content and that doing so does not violate law or another person's rights. Forum content appears under the username you choose and may include an optional profile image. Reprieve does not display your legal name or email on forum posts, but your username, image, or content may identify you. Community spaces are not private or confidential.
Reprieve may, but is not required to, review, preserve, restrict, remove, or report User Content or account activity when we reasonably believe it violates these Terms, threatens safety, infringes rights, exposes private information, interferes with the Services, or creates legal or security risk. We do not endorse and are not responsible for statements made by users.
Acceptable use
You may not use the Services to:
- violate law, court order, contract, or another person's rights;
- harass, threaten, exploit, stalk, discriminate against, or impersonate another person or organization;
- publish another person's confidential, financial, location, health, or identifying information without authorization;
- promote or facilitate violence, self-harm, trafficking, illegal drug sales, fraud, or other dangerous or unlawful conduct;
- submit deceptive, defamatory, obscene, infringing, malicious, or materially misleading content;
- send spam, unauthorized advertising, chain messages, or commercial solicitations;
- bypass permissions, rate limits, validation, payment controls, or security measures;
- probe, scan, scrape, reverse engineer, copy, frame, overload, disrupt, or introduce malicious code into the Services, except where applicable law expressly permits;
- use automated means to create accounts, harvest data, or access the Services without written permission; or
- use Reprieve's names, logos, content, or designs in a way that suggests unauthorized affiliation or endorsement.
Homebase and organization responsibilities
Homebase is an administrative tool for recovery-residence operations. Each organization is responsible for its houses, staff, residents, records, notices, permissions, policies, charges, housing decisions, and compliance with privacy, housing, employment, payment, recordkeeping, and other laws. Organization users must access only records permitted by their role and assigned-house scope and must promptly remove access when it is no longer authorized.
Organizations must have a lawful basis and all required notices, authorizations, and consents before entering or disclosing information about residents, staff, or other people. Homebase is not a clinical record system and does not by itself satisfy an organization's professional, licensing, accreditation, medical-record, or regulated-data obligations. Unless Reprieve expressly agrees in a separate signed writing, use of the Services does not create a business-associate or similar regulated-data relationship. An organization must determine whether such an agreement is required before submitting regulated health information.
Rent payments, subscriptions, and other charges
Reprieve may facilitate resident rent payments to a participating organization. The organization—not Reprieve—sets rent, organization-imposed housing charges, credits, balances, due dates, refunds, and housing terms. Reprieve does not add a resident-facing payment-processing surcharge based on the selected payment method. The resident authorizes the contractual rent or organization-imposed housing payment amount presented for the transaction. Reprieve is not a party to a lease or housing agreement and does not guarantee the accuracy of an organization-created ledger. Residents should raise rent, refund, or housing disputes with the organization, although Reprieve may assist with technical or transaction-status questions.
Transactions may be completed by independent payment providers and may be subject to processing times, reversals, disputes, and additional provider terms. You authorize the payment amount presented before payment. Organizations are responsible for taxes, refunds, charge disputes, and accurate accounting except where applicable law or a separate agreement states otherwise.
Paid Homebase plans or other subscriptions may be purchased through an application marketplace or another authorized billing channel. Price, billing period, renewal, cancellation, and refund terms will be disclosed at purchase and may also be governed by that marketplace. Deleting an account or app does not necessarily cancel an external subscription; use the billing channel's cancellation controls.
Waitlist, Pathfinder, and username requests
A preferred-username submission creates a temporary hold only after the request is accepted and is not confirmed until the email-confirmation step is completed. Requests remain subject to availability, format rules, reserved terms, misuse controls, expiration, and future account requirements.
Joining a waitlist, qualifying for a Pathfinder designation, or reserving a username does not guarantee a launch date, permanent username ownership, app access, a badge, priority level, feature, platform, subscription plan, or price. Preview benefits may change or be discontinued before launch.
Service changes, updates, and availability
The Services may include pre-release or experimental features. Reprieve may add, change, suspend, limit, or discontinue any feature, content, plan, platform, or part of the Services. We may provide updates needed for security, compatibility, or functionality. Some features may vary by device, location, organization, role, house assignment, subscription, or release stage.
We do not guarantee uninterrupted, error-free, or secure operation or that data will never be lost. You are responsible for maintaining copies of information you are legally required to keep and for installing updates made available through an authorized distribution channel.
Third-party services and content
The Services may rely on or link to independent providers for functions such as authentication, communications, hosting, payments, subscriptions, application distribution, maps, meetings, news, media, support resources, or external websites. Reprieve does not control their services, content, availability, security, or privacy practices. Your use of an independent service may be governed by separate terms, and you access outside content at your own risk.
Reprieve intellectual property and limited license
The Services, including software, names, logos, artwork, product designs, text, graphics, organization, and Reprieve-provided content, are owned by or licensed to Reprieve and protected by applicable law. Subject to these Terms, Reprieve grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for their intended lawful purpose. No other rights are granted.
Feedback
If you submit ideas, suggestions, or other feedback, you grant Reprieve a perpetual, worldwide, irrevocable, royalty-free right to use, modify, and incorporate that feedback without restriction or compensation. Do not submit feedback you consider confidential or proprietary.
Suspension, termination, and deletion
You may stop using the Services or request account deletion at any time. Reprieve may suspend, restrict, or terminate access, remove content, or preserve information when reasonably necessary to enforce these Terms, protect users or the Services, investigate suspected misconduct, comply with law, address nonpayment, or reduce legal or security risk. When practical, we will provide notice, but immediate action may be necessary.
Provisions that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, indemnification, dispute-related provisions, and permitted retention—will survive.
Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." REPRIEVE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
REPRIEVE DOES NOT WARRANT THAT THE SERVICES, USER CONTENT, ORGANIZATION RECORDS, MEETINGS, RESOURCES, LISTINGS, CHECK-INS, PAYMENT INFORMATION, OR OTHER CONTENT WILL BE COMPLETE, CURRENT, ACCURATE, SECURE, AVAILABLE, OR SUITABLE FOR YOUR NEEDS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME OF THESE EXCLUSIONS MAY NOT APPLY TO YOU.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPRIEVE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOSS OF DATA, PROFITS, REVENUE, GOODWILL, OR OPPORTUNITY; OR PERSONAL, HOUSING, RECOVERY, BUSINESS, OR PAYMENT DECISIONS ARISING FROM OR RELATED TO THE SERVICES, EVEN IF ADVISED THAT SUCH DAMAGES WERE POSSIBLE.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF REPRIEVE AND THE OTHER REPRIEVE PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE FEES YOU PAID DIRECTLY TO REPRIEVE FOR THE SERVICES DURING THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. RENT, PAYMENT, OR OTHER AMOUNTS PASSED TO AN ORGANIZATION ARE NOT FEES PAID TO REPRIEVE FOR THIS PURPOSE. THESE LIMITATIONS DO NOT APPLY WHERE PROHIBITED BY LAW.
Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Reprieve and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, damages, losses, liabilities, judgments, costs, and expenses, including reasonable legal fees, arising from your User Content, your misuse of the Services, your violation of these Terms or law, or your violation of another person's rights. If you use Homebase for an organization, this obligation also applies to claims arising from organization records, staff access, housing operations, charges, notices, or decisions under your control. Reprieve may control the defense of a covered claim, and you agree to cooperate.
Electronic communications
You consent to receive account, confirmation, security, transaction, support, legal, and other service-related communications electronically. These communications are part of the Services and may continue even if you opt out of marketing. You may unsubscribe from promotional email using the instructions in the message.
General terms
These Terms, the Privacy Policy, and any applicable additional written terms are the entire agreement concerning the Services. If any provision is unenforceable, it will be enforced to the greatest extent permitted and the remaining provisions will remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; Reprieve may assign them as part of a reorganization, financing, merger, acquisition, or sale of assets. Reprieve is not liable for delay or failure caused by events beyond its reasonable control.
Changes and contact
We may update these Terms as the Services or law changes. We will post the revised Terms with a new effective date and provide additional notice when required. Your continued use after revised Terms take effect constitutes acceptance, to the extent permitted by law.
